K92 Mining Inc. (TSX-V: KNT)  

Independent Director and Audit Committee Chair

March 2016 to Present

TSX-V listed mining company whose flagship project is located in Papua New Guinea and entered into commercial production in 2018. Joined the company in an advisory capacity in late 2014 and formally became a member of the Board of Directors in May 2016  upon the successful completion of a reverse takeover and subsequent listing on the TSX Venture exchange.

Conuma Coal Resources Ltd. 

Senior ERP Financial Advisor

January 2018 to Present

  • Private coal mining company with annual revenues in excess of $800 million and three operating mines in British Columbia, and numerous exploration targets in British Columbia.  
  • Assisting the company with assembling their quarterly and annual financial statements and MD&A since Q1 2018, and have completed numerous projects for the company including: project to deal with acquisition accounting by parent, assistance with US$200M bond offering, IFRS 16 implementation, PPE reconciliation project, and various others. 
  • Currently also working with the company to assist them through the implementation of the Microsoft Dynamics D365 ERP system throughout its three operations and head office. 


Titan Mining Corporation (TSX: TI) 

Chief Financial Officer 

March 2017 to January 2018

  • TSX listed zinc mining company that when private acquired a zinc property in the State of New York and completed an IPO in October 2017 raising gross proceeds or approximately $50 million.  
  • Joined the company following the acquisition of Empire State Mines when the company was private with the mandate to lead the company through a successful IPO process.
  • Major achievements during my tenure included completing a PEA, completing a long-form prospectus IPO directly to the TSX big board, signing a commitment letter for a $15M line of credit facility, setting up the risk management strategy, hiring key administrative staff at site, finalizing the acquisition accounting, and setting up the financial and site reporting structures.

Imperial Metals Corporation (TSX: III) 

Vice President, Finance

August 2015 to March 2017

  • TSX listed mining company with annual revenues in excess of $400 million and two operating mines in British Columbia, one small operation in Nevada, two joint-venture projects, and numerous exploration properties.
  • As a member of the senior management group my major responsibilities included: overseeing the day-to-day operations of the finance function including financial reporting, internal controls management, risk management, treasury management, foreign exchange management, tax planning and budgeting;
  • supervising the corporate accounting team consisting of a controller, two senior accountants, a financial analyst, a junior accountant, an accounts payable accountant, and two mine site controllers;
  • overseeing the payroll functions for head office and operating mine sites;
  • managing the financial components of the monthly mine site reporting packages and overseeing the preparation of all parts of the Board of Directors and external stakeholders reporting packages;
  • managing all insurance policies including coverage levels, renewal packages, underwriter proposals, and administration of on-going claims;
  • managing banking and debt relationships including a revolving credit facility, high-yield notes, convertible debentures, and equipment loans; and
  • responsibly for all SAP ERP system management, maintenance, support, training, and new functionality/module implementation. 


Meryllion Resources Corporation (TSX-V: MYR)  

Chief Financial Officer

January 2014 to February 2015

  • TSX-V listed mining company with early-stage exploration properties in Argentina and administration offices in Vancouver and Buenos Aires.
  • Supervised an accounting team in Argentina and managed all aspects of the Vancouver head office including payroll, insurance, financial consolidation, financial statement preparation, MD&A preparation, budgeting, monthly and quarterly Board reporting, tax compliance, and tax planning. 
  • Due to the continuing difficulty in the junior mining space and political unrest and economic uncertainty in Argentina the company was unable to continue operations and in February 2015 the corporate head office was eliminated to preserve the company’s remaining working capital.  


Yellowhead Mining Inc. (TSX: YMI)  

Chief Financial Officer

January 2012 to December 2013

  • TSX listed mining company with a feasibility study stage project in British Columbia.
  • Responsible for all financial and fiscal management aspects of company operations providing leadership and coordination in the administrative, business planning, risk management, accounting and budgeting functions of the company. 
  • Graduated the Company from the TSX Venture to the TSX main board and concurrently implemented NI 52-109 compliant internal controls policies and procedures.
  • Completed several non-brokered and flow-through financings. 


SouthGobi Resources Ltd. (TSX: SGQ; HKEX: 1878) 

Corporate Controller

July 2008 to November 2011

  • TSX and HKSE listed mining company with producing assets in Mongolia and administration offices in Vancouver, Hong Kong, Beijing, Ulan Bator and Jakarta.
  • Joined the company when it was at the exploration stage and during my employment the company went through a period of explosive growth during which it raised $500M in a convertible debenture, completed a secondary IPO on the Hong Kong stock exchange raising over $400M, completed construction of a mine in Mongolia with total CAPEX of approximately $300M, and had peak revenues exceeding $100M per annum.
  • Prepared the Quarterly and Annual Financial Statements and MD&A in compliance with Canadian requirements and a half-year and annual report in compliance with Hong Kong requirements.
  • Reviewed and consolidated the accounting information from various subsidiaries for monthly internal reporting presented to the Board of Directors and for public disclosure purposes.
  • Supervised and helped manage the accounting departments in Vancouver, Hong Kong and Mongolia, providing oversight, technical and procedural assistance, and mentorship.

  • As part of the audit practice, completed public company audits and reviews of multinational corporations reporting under Canadian and US GAAP primarily in the mining industry.
  • As part of the financial advisory practice, prepared and reviewed cash flow models, valuation models and purchase price allocations for several M&A deals in the mining industry.

  • Privately owned software developer that provided complete recreation management solutions to cities and large recreation organizations throughout North America.
  • Travelled throughout North America implementing the proprietary software and hardware package, setting up appropriate business processes, training new clients on using the software package and providing phone support to existing customers.
  • Managed up to 6 projects at a time, including designing the project plans, coordinating with implementation teams, tracking project milestones, creating documentation and dealing with 3rd party vendors.
